SERVICE AGREEMENT
This Service Agreement is to clearly and concisely explain the terms of services and what the services entail for the Client's understanding. Some of the products and services might be subjected to 1 or 2 years contract, this will be properly communicated to the Client. Clients should read carefully before agreement.
SERVICES
1.1 Switchboard agrees to provide the Client with the following services: FTTP or SOGEA Internet Service as agreed by your sales representative and in your activation email.
1.2 The Services shall commence at the day of activation and continue for a period of one or two years (depending on product) before the contract can be terminated or continued.
FEES
2.1 The Client shall pay Switchboard a fee of £75 plus VAT per month for the Services.
2.2 Invoices shall be issued by Switchboard on a Monthly basis. Payment shall be due within 14 days of the invoice date.
TERM AND TERMINATION
3.1 This Contract shall commence on the day of activation and shall continue for a period of one or two year.
3.2 For Univerge Blue products and services this contract is also subjected to Univerge Blue’s terms and conditions.
3.3 Either party may terminate this Contract with a written notice to the other party at least 30 days before the contract year is over.
3.4 Notwithstanding the foregoing, Switchboard may terminate this Contract immediately if the Client is in material breach of this Contract and fails to remedy such breach within 14 days of written notice from Switchboard.
LIMITATION OF LIABILITY
4.1 The client shall be liable for the full contractual amount if the contract is terminated before the stipulated period of completion.
4.2 The client is liable to pay a penalty to Switchboard if the contract is broken.
ENTIRE AGREEMENT
5.1 This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
